    This sale is made between  (Total Asset Management Solutions) TAMS, LLC. (“Seller”) and the winning member (“Buyer”)as follows:

    1.  Seller is the assignee under a General Assignment made pursuant to Utah law.

    2.  Seller hereby sells, transfers, conveys, assigns and delivers the Assets to Buyer.  Transfer of the Assets to Buyer by Seller shall not be effective until payment is received and clears where applicable (Check, wire etc)

    3. The Assets are sold to Buyer “as is” and “where is” and without any representations or warranties of any nature (Unless otherwise stated in the sale).  Any costs such as trademark applications, url renewals or any other costs related to the assets or their transfer will be the sole responsibility of the Buyer.  Any additional costs related to this transaction will be the sole responsibility of the Buyer.

    4.  Any data, code, or any other proprietary information is the property of the assigner of  the Seller and must be destroyed immediately if Buyer finds them on any asset purchased.

    5.  If payment does not clear, the Assets shall remain the property of Seller and ownership of the Assets shall be deemed not to have been transferred to Buyer.  Under such circumstances, in the event that Buyer is in possession of the Assets, Buyer shall be obligated to immediately return possession of the Assets to Seller and shall be responsible for all costs and attorney’s fees incurred by Seller in connection with regaining possession of the Assets or otherwise incurred in connection with enforcing this Bill of Sale.

    6.  Seller does not agree to defend, indemnify or hold harmless Buyer or any person or entity affiliated with Buyer from and against any loss which arises out of or results from the subject transaction.

    7.  Tamsolutions is an R2 Certified recycler.  All items sold in our store fall within 1 of these 3 categories:  Tested for Full Functions, R2/Ready for Reuse; Tested for Key Functions, R2/Ready for Resale Evaluated and Non-Functioning, R2/Ready for Repair.  When this item reaches the end of its useful life, please recycle properly at a local R2 or E-Stewards certified recycler.  We can help you locate your nearest R2 or E-Stewards certified recycler or you may ship it back to us for proper recycling.
