Premature end of script headers means that either the files weren't uploaded in ascii or the perl path in the .cgi files is incorrect. Recheck the perl path, and regarding uploading in ascii, which FTP client are you using to upload? If CuteFTP, switch to WS_FTP as many people have been having problems using CuteFTP for ascii upload.
