moved classic 6.7.3 to a new server all in and well except we get permissions denied to members directory. Members can not log in. thought??

Is the members directory path set properly in yoru configs? Are all of the files in (and the directory of) the member directory chmodded 777? Did you run all of the maintenance scripts from the control panel once moved over (including clearing your cache)?

Can uploading the files in the wrong mode (ASCII/Binary) cause permission problems? Chmod the cgi-bin 775 -R and still permission denied.

Uploading in the wrong mode will do a LOT more than cause permission problems - they won't work at all <img src="https://www.ubbcentral.com/boards/images/graemlins/smile.gif" alt="" />
Some servers require the cgi-bin folder to be no higher than 755 - I believe you can set the Members folder and files within to 777 tho.
