OK..
I got rid of all those messages and now the script runs but after I fill in all the variables and select enter.
I get:
"Done! Click here to begin importing members."
My ubbimport.cnf.php now contains:

Then I click on that and:
"Done! Click here to begin importing members."
and after 10 seconds I get:
Done! Click here to import categories.
(remember I have 12000 members and having it finish this fast was suspicious)
The categories import takes 3 seconds. ( I have about 20 categories)
I then get:
Done! Click here to begin importing the forums.
I then get:

The forums.cgi file does in fact exist in this exact location with read rights for all.

Use the public display name/password from your UBB.classicâ„¢ installation to login. If your public display name had spaces, replace the spaces with underscores. For example, the login name "Just Me" would become "Just_Me".
Note: A temporary table was used during the import. If there is an SQL error message below, the table could not be dropped. You will need to manually drop the "w3t_memtemp" table at a later time.
I did not receive any SQL error messages.
At this point the config file contains:

POOF absolutely empty forums, no users, nada, zilch, nothing.
